Description Assisting in establishing the corporate governance framework  Ensuring compliance obligations under relevant laws and the requirements of regulatory authorities are met  Handling company share transactions - issuing new shares, arranging dividend payments and observing all legal requirements  Liaising with auditors, lawyers, tax advisers, and shareholders on board governance issues  Arranging and preparing for the BOD and GA meetings  Attending and taking minutes of BOD meetings  Following-up on the implementation of the decision taken by BOD  Ensuring proper filing of all BOD and GA meetings minutes and company records  Managing subsidiaries corporate affairs matters as required  Assisting in the departments administrative day to day issues  Other duties as needed or required.
Qualifications Relevant university degree (preferably in law)  3-5 years working experience with 2 years in a similar function  Corporate Secretary certification or training will be a plus

Other Skills Working knowledge of the legal system , corporate and securities laws  A thorough understanding of a companys business  Ability to perform with minimal supervision  Demonstration of excellent communication skills  Flexible ,creative and detail-oriented  Business computer skills
